9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRISM ANALYTICS SHALL NOT BE LIABLE FOR:
- • Any indirect, incidental, special, consequential, or punitive damages
- • Loss of profits, revenue, data, or business opportunities
- • Business interruption or loss of goodwill
- • Personal injury or property damage resulting from your use of our services
- • Damages arising from your reliance on any information or analysis provided
Our total aggregate liability for all claims arising from or relating to these terms or our services shall not exceed the amount you paid us for services in the twelve months immediately preceding the event giving rise to liability, or one hundred US dollars if no payment was made.
10. Exclusion of Consequential Damages
In no event shall Prism Analytics be liable for any consequential, incidental, indirect, exemplary, punitive, or special damages of any kind, however caused, whether such liability arises from negligence, breach of contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.
11. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, government actions, labor disputes, epidemics, pandemics, failures of telecommunications or internet services, or any other events outside our reasonable control.
12. No Financial or Investment Advice
Our services provide analytical frameworks and perspectives for informational purposes only. We do not provide financial advice, investment recommendations, tax advice, or legal counsel. Specifically:
- • Our analysis should not be construed as recommendations to buy, sell, or hold any securities
- • We do not act as a registered investment advisor, broker-dealer, or financial planner
- • Past performance does not guarantee future results

Legal Information and Dispute Resolution
13. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Brazil, without giving effect to any principles of conflicts of law. You agree that:

- • You submit to the personal jurisdiction of such courts

14. Dispute Resolution Procedures
In the event of any dispute, claim, or controversy arising from or relating to these Terms and Conditions or our services, the parties agree to the following resolution process:
Step 1: Informal Negotiation
The parties shall first attempt to resolve the dispute through good-faith negotiations. Either party may initiate negotiations by providing written notice to the other party describing the nature of the dispute.
Step 2: Mediation
If the dispute cannot be resolved through negotiation within thirty days, the parties may agree to submit the dispute to mediation before a mutually acceptable mediator.
Step 3: Litigation
If mediation is unsuccessful or if the parties choose not to pursue mediation, either party may pursue legal remedies in the courts specified in these terms.
15. Severability Clause
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.
16. Waiver
No waiver by Prism Analytics of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these terms shall not constitute a waiver of such right or provision. All waivers must be in writing and signed by an authorized representative of Prism Analytics.
17. Assignment
You may not assign or transfer these Terms and Conditions or any rights or obligations hereunder, in whole or in part, without our prior written consent. Any attempted assignment in violation of this provision shall be void. We may assign these terms at any time without notice or consent. These terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
18. Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any other legal notices or agreements published on our website, constitute the entire agreement between you and Prism Analytics regarding the use of our services. These terms supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us.

20. Survival
All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of your access to our services does not release you from any obligations or liabilities that accrued prior to termination.
